I'll be keeping this 2600K for a while, it's the first CPU in my life I can actually call "Golden", does 5.0Ghz on this p67 FTW with lots of room left...... I'm probably going to upgrade the wife with this P67 setup and maybe sell her Gigabyte X58 stuff.

You should be able to do on any board, there just has to be a DOS version of the flash utility available for your board.

Try a different usb flash drive, and go back and revisit the instructions.  You may have missed something.

This was enough information to find a solution.  
 
When formatting this Flash Drive in Win-7 Pro it went painfully slow.  When done, DOS DIR /A  failed to display the hidden DOS system files.  Not seeing the system files I assumed I could just copy the files in the Windows 98 folder onto the Flash Drive.  Putting all those files on a 2GB drive, consumed ~ 10Mb of space, which I suspect was a problem, or something in the Win-7 formatting was causing a problem.
 
After seeing Lvcoyote's idea, I formatted the Flash Card in Win XP Pro, and it a complete format didn't take more than a few minutes.  This time the DOS hidden system files were moved as expected and visible in a DIR /A display.
 
With BIOS set to Defaults, and the SSD drive disabled, the Flash Card contents appeared after the reboot.  Executing the FPTDOS.bat file generated the previous warning screen, and when "Y" was entered, the updating process began the process of clearing the Flash Block, and updating the BIOS.  Here is the image displayed at that stage:   http://tinyurl.com/crfjvx9

Even I flash in win7 64bit, the system auto turn off.

When I first tried to use a USB stick to handle the BIOS update, I discovered the formatting process didn't work as needed.  In my case, the dialog sourced the DOS files, but didn't place any of them on the stick.  Three attempts showed a problem in the USB formatting software.  With no hidden or visible files moved to the USB stick, it won't Boot into DOS.  With a large USB stick I didn't think it would be a problem to just copy the files to USB stick.  That approach worked in allowing the stick to Boot the computer in DOS, but it generated this screen message:

After the above failure and "Lvcoyote" comment posted, I found an earlier version of the USB format software on my EVGA x58 machine.  That earlier software was used to format the USB stick again.  Right after that formatting finished, it uploaded the DOS System/Hidden files, but none of the visible files.   With the USB stick DOS capable, I copied the EVGA BIOS files and edited the BAT file to be sure it would load the current EVGA BIOS file name.
 
Not placing any of the standard visible files on the USB stick appears to be the difference between success and failure in my BIOS update.

Absolutely necessary, no...... desirable, I think so.

I just used this to update my Z77 FTW, which the not enough memory issue.  Thanks so much everyone for all the great information.
Now just to find out how to get these fans to slow down!

Ishantz,  If you go to support and pick your BIOS, look at VIEW  under NOTES.   There is the information for DOS loading.
