You are only answering some questions.

Yes, if you have a 'kernel-power' error, that means that the system is simply shutting off for whatever reason. You need to figure out why. It's not an operating system or software issue. It is either an issue with your house electrical system, circuit breaker, wall outlet, extension cord, power strip, surge protector, battery backup, power cord, power supply, computer wiring, motherboard, or motherboard BIOS.

Please answer these questions:
What amperage is the circuit breaker in your house for that wall outlet?
What other appliances are running off of the same circuit breaker?
What is your computer plugged into? List all things between the PSU and wall outlet such as power strips, surge protectors, etc.

But when i turn ON VSYNC on that demo its no longer crashing and its fine.
 
All games runs fine ( Crysis 2, 3, Tomb Raider , Metro LL, 3dmark 11, Valley, 3dmark Vantage, Black Ops 2, Modern Warfare 3, Battlefield 3 ) and are stable without restarting. Even other tests of 3dmark 13 - > CLOUD GATE and FIRE STRIKE runs fine without issues. I can even run they for 24H without issues.
Super PI, Prime95 fine too. HDD without Bad Sectors. 
 
 
All is plugged ok. Temps are fine. Temp in room 26C max.
 
If i remember correct on my earlier card 680 Twin Frozr  i was dont had that restarts in that demo. So maybe its 770 drivers \ 3dmark issue? Or maybe my PSU is too weak for 770 Lightning? But come on , only 1 test demo ICE STORM and for smartphones and tablets and something its faulty with hardware or not enough power?

if PSU is not the issue (running Firestrike flawlessly rules it out me thinks) then you might have a software corruption somewhere.
 
Ice Storm is the weakest test of 3d mark 13, it can be run even on cell phones. I doubt PSU usage is spiking up in this one and not in Cloud gate or Firestrike. I think it's actually a software problemsince the restart happens exactly at same second (is it the same frame too?).
Maybe try uninstalling and re-installing 3D Mark '13 first, something might be corrupted.
 
have you tried to uninstall all nvidia components (starting with physx then 3d stuff, hd audio, geforce experience things and as the last one the driver)?
I'd suggest then after a restart, running Driver Fusion cleaner and check categories of Nvidia display and PhysX, then reboot and install fresh 320.49 using Custom Mode - Perform Clean installation and select only Driver and physx (nothing else).
 
see if you can run Ice Storm without hiccups.

Feniks, explain how a software issue would cause a 'kernel-power' in the event log and no BSOD and no minidump. How does software bypass the operating system and force the motherboard to issue a hard shutdown to the power supply?

I just can not see how it could be a software issue. I think it must be an issue with household electrical system providing dirty power, or failing PSU, or issue with GPU voltage regulators running high FPS at low load, or issue with high CPU load and low GPU load causing a power supply cross loading issue, or something. It just has to be a hardware issue. If I were the one with the problem, I would definitely try a different PSU.

I don't know how, but I've seen it before, no BSOD, just restart. was a common problem on Asus Maximus V Extreme boards with older BIOSes ranging from 1309-1604, especially it was getting triggered by running AIDA64 monitoring while Ai Suite component was leftover (incomplete uninstallation).
so, to answer you question, I don't know how exactly (it was a certain leftover Asus service responsible for hardware monitoring in my case), but certainly it is possible to some extent given the proper conditions on the border between BIOS programming and software monitoring (benchmarks do monitor some stuff in certain ways).
 
of course the best way to rule it out is to swap the PSU and see if problem persists.
 
unstable GPU at extremely high FPS, could be another reason of sudden restart sometimes too, but usually I've seen hard locks instead.
