Lastnight my system simply shut down. I thought it was a poweroutage but the other lights and such were still on. I tried to turn my PC on through the case but nothing happened, so I flipped the power switch off and waited. I did notice some of the LEDs on the MOBO were still lit at this time. I fliped the power back on and still nothing though the power button on the case. I tried the button on the mobo and I heard a little click, but still it did not power up. At this time I happened to notice that there were no lights on my Corsair AX120i at all, no red or green.
  Is this a bad PS? or you think the mobo is dead? I cant call Corsair tech till tomorrow to see if they can RMA ( this will be the 2nd bad one in 2 years )

Lastnight my system simply shut down.  Is this a bad PS? or you think the mobo is dead?

Sorry your having issues with your Rig
 
Easiest test:
 
Disconnect ALL cables from your PSU ---> Except the 24-pin ---> Remove 24-pin from MB ---> Place the test Cap on the 24-pin --> Does PSU Power Up ?

unless the PS came with a test cap, i aint got one.
 when the last one died. there was a red light that came on the PSU, I am not getting a red or a green light now which is why I am thinking it may be the PSU.

Did you Confirm that wall outlet has power ?  Sometimes they are on a switch or the breaker trips ---> Happens

How to Manually Test a Power Supply with a Multimeter

You'll probably need to take a look at the ATX 24-pin 12V Power Supply Pinout table to determine the locations of these two pins.

No, the PSU safety features could be the reason it fails
 
 
If after you inspect the Rig you see no Obvious issues
 
Next step: Remove all connections to the Case & every add-on Card except the GPU---> Does it start ? 
(MB must have start button or momentary short Only the two pins where the start button goes )
 
If NO ---> Remove GPU --> Does it start ?

If NO ---> Place PC on a Non-conductive surface, 1 RAM, CPU, CPU cooler ---> does it start ?
 
If Yes, remove power from wall & add back your GPU ---> Does it start ?

ok, i reset everything and cleared the comos, when I started it up, there was a spark from my top 980ti. I shut it back down, removed the card and all seems to be ok for the moment.

then confirm with CS your Warranty status
 
If under warranty --> Make sure to indicate your 980Ti is part of a SLI setup

went out of warranty back in July last year. sure do miss those lifetime warranty's they used to have

I buy the 10 yr Extended Warranty -- just for this reason 3 yr is too short & 10 yr is only couple bucks more than the 5 yr plan

good idea, i might do that with the next card. got my eyes on a rtx 2080ti. my brain is saying yes, my wallet says no way.

Well the Good news would be you'll use less Watts, create less heat & have better GPU power with one 2080 Ti

Anytime I hear spark I would be worried about the PSU. I would also be getting a cheap video card to test the system or use an old one I had laying around. Hopefully it was just the video card but it really makes me wonder about the PSU since that is the source of power for the system.

I'm not terribly surprised.  It's become quite a common report on these forums over the last half year.  ... Like ... maybe one report a week on average at this time.  If anyone's 980 Ti is still working, I begin to wonder for how much longer.  Seems that EVGA/NVIDIA chose the components well to maximize profit during the warranty period.  In other words, it seems to have become common for it to die shortly after the warranty expires.
