First of all, my CPU and RAM overclock are now stable. For those of us striving for maximum GPU overclocking, please do yourself a favor and disable PXOC iCX from starting with Windows while running ASUS Realbench.
After pulling my hair out, running around the house swearing, driving my co-workers that work at the Geek Squad crazy with questions, I realized leaving PXOC enabled during the Realbench stress test was the problem.
Hopefully this little bit of information will help someone else down the line.

I have now successfully completed 10 loops of the benchmark and an hour of the stress test.

I would like to thank eVGA_TechVictor for helping me figure this out over the phone.

was  overclock unstable or just the xoc program running caused a driver crash?msi afterburner has apply at start up and start with windows. apply will apply your overclock but doesnt run the program in the background start with windows will start the actual program. i believe xoc has a similar setting

I'm not sure exactly, my CPU overclock was not stable at 4.7ghz. It's stable at 4.6/4.1/1.385v. Temps are good now @ 73C RB/prime95. Gaming temps were a lot lower 38-49C (cpu/gpu).  I played a couple of hours Star Wars Battlefront @ 2037/9000/1.043v, with no issues. I think there is an incompatibility between the 2 programs. Windows 7/buggy ASUS M8H BIOS ver.3201 settings were completely screwed up, so who knows. I re-installed Windows 7  and rolled back to M8H BIOS ver.2202 just for good measure. Only down-side is having to install device drivers and Windows updates+games all over again.
